Biography
Scot Duncan serves as Senior Vice President, General Counsel and Secretary. In this role, he holds executive responsibility for all legal, ethics and compliance matters across U. S. Steel. Mr. Duncan oversees environmental affairs, government affairs and corporate governance, including matters related to the Board of Directors. He is also a member of the senior leadership team, reporting to President and CEO David B. Burritt.
Previously, Mr. Duncan served as Deputy General Counsel and as an advisor to executive management on M&A, capital markets, and corporate finance and banking deals. He was also responsible for leading a team of attorneys who provided corporate and commercial legal advice to U. S. Steel and its subsidiaries. In addition, he served as the day-to-day lead for the legal team on all matters pertaining to U. S. Steel’s partnership with Nippon Steel.
Mr. Duncan joined U. S. Steel in 2016 as Counsel – Corporate. During his tenure, he took on roles of increasing responsibility, and was appointed to Senior Counsel – Corporate in 2018; Assistant General Counsel in 2019; and Senior Assistant General Counsel in 2021.
Prior to U. S. Steel, Mr. Duncan was an associate with Jones Day where he focused on M&A, cross-border transactions, private equity and joint ventures.
Mr. Duncan earned his J.D. from the University of Pittsburgh, where he was a member of the law review and graduated Order of the Coif. He received his B.A. in Economics from Allegheny College.
